Let's talk about the Twitter problem. Potential options.

1.) Elon has to complete sale.
2.) Shifts focus to making Twitter profitable.
3.) Has to sell a shit load more stock driving price down.

Or

1.) Sale goes through at a lower price
2.) Same as 2&3 but less.

Or

1.) Elon pays the $1B break up fee and gets off easy.
2.) Goes to work on Tesla/Space X/Boring/Neural.
3.) Elon buys back shares he sold to fund Twitter. ( I think he will ultimately make a shit ton if this happens)

BEST CASE.

Or

1.) Elon gets off free and clear
2.) This occupies 10% of his time for the next year but otherwise focused on TSEBCN

I plucked off the internet one early AM during a search that the Chancery judge already determined that Elon Musk must complete the “$54.20” buy.

Returning back to the article hours later it had been pulled back. SO I surmise that a journo “jumped the Lede” and got his exclusive pulled.
OR
It was “fake news”.

I suspect Elon's defense is technical analysis of the Twitter bots. That might take awhile. If Elon say's there are more than 5% or Twitter was uncooperative in providing the detail.

Twitter admits “specific performance” turned the agreement into a sale outright. Twitter reinforced its position with the DD waiver EM signed-off.

Basically, civil trial has the determination as to wether an estimated counting can plausibly accrue to contractual term of contract. Further whether such an estimate even qualifies as detrimental to the buyer’s reliance for purchase.

Elon carries the onus(FWIU) proving that the mDAU estimate did not mathematically amount to anything more than “guesstimate”. SEC has to sign off on the mDAU as “fake”. And Twitter takes a cargo ship full of lawsuits thereafter.

Elon then has damages, claim and fraud to sue to annul the transaction or reduce by % of proven badassery. EM probably takes his % and Twitter pays %. Elon walks away with a Twitter shell company or rebuilds the marque into the brand of his dreams.

Elon will have to prove that it's material to the success or failure of the brand in the years to come... and that they failed their duty to report. Not just that some number was wrong.

His case is made weaker by his own statements saying he wanted to come in and reform how they were dealing with bots.

If Elon is forced to complete the sale I can't see that it behooves him to continue to sue Twitter. (He may sue individuals to the extent that they are not protected by the company prior to the take over.) He will get to work monetizing what he can and writing the rest off as his altruistic vision.

A prolonged battle will hurt both sides. I suspect Elon will make a strong enough case that Twitter Board will need to negotiate behind the scenes.

This is going to be a huge distraction for Elon.

If course. He has been in consultation with very talented folks from the get go. Yes they will do the work. This will keep him up at night and is a huge ego distraction to get beat on or walk away from.

Twitters SEC filings dictate the health of the company, it is a major component of the decision process to buy. If the filing was misleading it was therefore illegal, the buck stops there. This fundamental fact has to be included in any waiving of due diligence debate.

Tinker, you started your possible scenarios with 'Musk has to'.
Musk 'has to' do nothing he doesn't want to. So we can exclude that scenario.

He is in total control of this situation. We have seen the propaganda attacks, and we see Twitters filing to fast track the case in court. This speed is to suffocate the time needed to obtain and analyze the data. Twitters stance is 'let's bypass the need to provide data, it's irrelevant, let's bypass the illegal SEC filings, let's take this case of face value as propagated by our propaganda machine'.

Maybe hiccups along the way. But they are last gasp corrupted trickery.


Will a political settlement take place?, will the board agree on a lower price without the need to provide any date to the courts. And end it there?.

NO, forget that scenario. — This is what will happen:

SEC fined Musk, removed him from the board. He hates the SEC, he knows it is corrupt. Twitter is a propaganda machine, a disruptor of civility( the tip of a far broader attack on the west).

Musk will take Twitter to the cleaners, and will identify all potential criminal charges against as many wrong doers as he can.

Next he will go for the SEC's throat, and weed out the corrupt elements who have been sitting on their hands and sweeping Twitters failings under the carpet.

Blood Will flow !

Whether he buys Twitter or not is moot.

When all is said and done, Elon will have trimmed 2 billion off the purchase price -mark my words. Not a bad day's work. I wish I could trim 2 bill off anything.
