Last month, ATW (Assembly & Test Europe GmbH), a company based in the German town of Neuwied that makes modern battery assembly lines, was rocked by news that it was facing closure due to the effects of the pandemic. The announcement was related by Udo Panenka, a managing director from ATW’s parent company, the Canadian ATS group. The news hit ATW like a bomb, as the company had been operating as a profitable supplier for clients such as BMW and Daimler.

Things took an interesting turn at the end of September, when local reports indicated that there may be hope for ATW and its pool of 210 highly-skilled workers yet. According to a report from RZ information, serious negotiations were underway with a company that could very well save the German battery assembly maker from bankruptcy. ATW’s management and works council, for their part, declined to comment further on the reported takeover plans.

The identity of the cryptic company that would save ATW from closure was revealed recently, as per information from local news outlet The European. The publication noted that the battery assembly maker is being taken over by none other than American electric car maker Tesla, which is currently looking to ramp its efforts to produce its own battery cells for its vehicles and energy products.

With Tesla coming into the picture, the imminent closure of ATW has been taken completely off the table. All 210 jobs in the company would also be preserved, which should give Tesla and its German workforce a notable boost considering the caliber of ATW’s engineers. Considering that ATW was on the way towards bankruptcy when it was acquired, speculations suggest that Tesla may have received a very good deal in the acquisition.

Reports indicated that ATW’s business partners had received notifications on Tuesday that the company had agreed to be taken over by a manufacturer of electric vehicles from California. Tesla was not specifically named in the communication, though word quickly got around in the industry. A toast in ATW’s Neuwied site was held on Friday as well, in celebration of the takeover from Tesla.

Tesla’s acquisition of ATW could be considered as a huge win for both companies. Prior to its unfortunate run-in with the pandemic that caused a steep decline in orders, ATW had been a highly profitable business that produced transmission assembly lines for Magna and state-of-the-art battery assemblies for BMW and Daimler. Tesla, for its part, needs premier talent such as well-trained battery engineers and skilled workers as it expands its presence in the region with Gigafactory Berlin.

Tesla takes over the Rhineland-Palatinate specialist for battery systems ATW

The Canadian parent company ATS wanted to give up the 210-man location in Neuwied - now the turning point.

According to several newspaper reports, Tesla is about to take over ATW Automation, which has got into trouble due to the corona pandemic. ATW (Assembly & Test Europe GmbH), which is part of the Canadian ATS Group, has built more than 20 battery production systems for large automobile manufacturers - including Daimler - in the past decade.

Until the beginning of the corona pandemic, ATW Automation, with 210 highly qualified engineering employees, was considered a specialist provider that worked profitably. They got into trouble since spring. In September the plans became public that ATS wanted to close the site as part of a comprehensive restructuring.

Now the turning point: According to a report last Friday, the company's workforce was informed that the sale to a California-based car maker had been successful. In the meantime, according to newspaper reports, it has leaked in the industry that the car manufacturer is Tesla.

Another Tesla company is at home only 100 kilometers away from the ATW location in Neuwied: Tesla Grohmann Automation was taken over by the technology company in recent years, but then stopped working for other automobile manufacturers. Elon Musk may now have similar plans.

ATW builds complex assembly systems for batteries

According to the company description of the hitherto largely unknown company without its own website, ATW can build complex assembly systems for batteries in six months. You have experience in handling and assembling different battery cells - such as round cells or pouch cells. ATW consistently relies on standard industrial hardware - from drive technology, motion control and safety to sensors and robotics.

Another specialty is to analyze production capacities in the automotive industry, combined with the aim of increasing the output of the systems.

ATS confirms sale negotiations

The ATW parent company confirmed negotiations on September 25, but has not yet officially confirmed the transaction:
ATS Automation Tooling Systems Inc. (TSX: ATA) (“ATS” or the “Company”), an industry leader in automation solutions, announced today that it has entered into a conditional agreement as part of its previously announced plan to reorganize its transportation business Completed the sale of certain assets and the transfer of employees of one of its Germany-based subsidiaries to a third party.

The completion of the sale is linked to several closing conditions. When the transaction closes, it is expected to partially mitigate the cost of the previously announced reorganization of the transportation business. The financial terms of the transaction were not disclosed.

What is the relationship between ATW and Tesla?

It is so far unclear how closely ATW and Tesla are currently working together. Possibly this will be specified in a statement later today. Of course, it is conceivable that ATW will be involved in battery cell production together with Grohmann.

German Cartel Office allows Tesla takeover of ATW

The German Federal Cartel Office has approved Tesla’s possible takeover of the company ATW (Assembly & Test Europe GmbH). The German company already produces battery assembly systems for clients such as BMW and Daimler/Accumotive or Volkswagen.

The proposition to buy the company was first announced at the beginning of October. According to a spokesperson for the Federal Cartel Office at the German Press Agency, dpa Tesla received the go-ahead from the competition authority for the acquisition of the plant manufacturer, which will be undertaken through a merger. The spokesperson did not provide any further details, and the two companies have not yet commented on the transaction.

To date, ATW has counted car manufacturers such as Daimler, BMW and Volkswagen among its customers. The company, which belongs to the Canadian company ATS Automation Tooling Systems, was actually highly profitable, but then got into financial difficulties due to the corona-related decline in orders and was already in liquidation. The Neuwied site in the German region of Rhineland-Palatinate was to be closed.

With the Tesla entry, the more than 200 threatened jobs in Neuwied could be preserved. It remains to be seen whether ATW will continue to accept orders from other car manufacturers after the merger with Tesla, but that is unlikely. When Tesla took over Grohmann Automation (now called: Tesla Grohmann Automation) in 2016, all third-party orders were terminated. Grohmann’s headquarters in Prüm is only 100 kilometres away from ATW in Neuwied.

At the Federal Cartel Office, the procedure was listed as “Tesla / Tesla Grohmann Automation / ATS / Assembly & Test Europe (ATW)”. This means it is still open as to whether Tesla itself or it’s subsidiary Grohmann will undertake the merger with ATW.

With the current expansion of production in Shanghai, Grünheide and Austin, ATW should not be short of work. ATW products and services include the development, design, manufacture, assembly and commissioning of production plants for the automotive industry as well as test systems for components and functional groups.

Recent updates from the German Press Agency indicate that Tesla has received official approval for its acquisition of ATW (Assembly & Test Europe GmbH), a company based in the German town of Neuwied that makes modern battery assembly lines. A spokesman for the German Federal Cartel Office confirmed the update, though he described the deal as a “merger.”

ATW is a small, specialized company that belongs to the Canadian ATS Group. The company is known for providing battery assembly lines and other key components for high-profile clients like Volkswagen, Mercedes-Benz, and BMW. ATW actually had a lot of momentum and was a profitable business over the years, but when the pandemic hit, it suffered hard. By September, reports emerged that the ATW was facing bankruptcy, as related by ATS executive Udo Panenka.

Near the end of September, reports emerged indicating that ATW and its 210 highly-skilled workers could very well be saved by a third-party. ATW’s management and works council kept quiet about the deal, but by early October, local reports revealed that the third party that’s poised to save ATW from bankruptcy was American electric car maker Tesla, which is currently building one of its Gigafactories in Grünheide near Berlin.

Neuwied city spokesman Erhard Jung proved optimistic about Tesla’s rescue of the battery assembly line maker. In a recent statement to Handelsblatt, the spokesman noted that international companies like Tesla are welcome in the area. “Tesla plays a leading role in electric mobility,” Jung noted. The mayor of Neuwied, Jan Einig, recently expressed similar sentiments, highlighting that Tesla Grohmann Automation GmbH in Prüm is only about 100 km away.

The specifics of Tesla’s deal with ATW have not been released so far, but speculations strongly suggest that the Elon Musk-led company was able to negotiate a good price for its “merger” with the German firm. This is in no small part due to the fact that ATW was approaching bankruptcy when Tesla entered the picture.

Tesla’s “merger” with ATW would undoubtedly be a massive win for both companies. On the one hand, ATW would avoid bankruptcy and its 210 highly-trained and skilled workers will be able to keep their jobs. On the other hand, Tesla will be able to acquire a talented, specialized, and proven workforce for its expansion in Germany. This is especially important considering the company’s plans to produce batteries at the Gigafactory Berlin site, as per suggestions from CEO Elon Musk.

Quoted from above:

" Another Tesla company is at home only 100 kilometers away from the ATW location in Neuwied: Tesla Grohmann Automation was taken over by the technology company in recent years, but then stopped working for other automobile manufacturers. Elon Musk may now have similar plans."

This must affect Mercedes, Porsche, and BMW.

I recently read that BMW was using a robot company from China instead of Grohmann. I bet this is why.
